Terms of Service

These Terms of Service ("Terms") govern your access to and use of ComplaiLite, a compliance onboarding tool operated by HNDL Technology Inc. ("HNDL", "we", "us"). By creating an account or using ComplaiLite, you agree to these Terms. If you do not agree, do not use the service.

1. The Service

ComplaiLite lets a Canadian mortgage broker send a branded link to a client, who completes a KYC questionnaire, reviews and electronically signs the broker's Client Agreement, and provides CASL consent. The broker receives the completed documents as PDFs by email. ComplaiLite is a software tool that helps brokers collect and organize these documents. It is not a substitute for the broker's own legal, compliance, or regulatory judgment, and it does not perform identity verification.

2. Electronic Signatures and Records

ComplaiLite's core function is to capture an electronic signature on the broker's Client Agreement and to produce electronic records (the KYC Summary and signed Agreement PDFs). By using ComplaiLite, the broker and the client consent to the use of electronic signatures and electronic records in connection with the onboarding, as contemplated by Part 2 of PIPEDA and applicable provincial electronic-transactions legislation, including British Columbia's Electronic Transactions Act. The broker is responsible for confirming that an electronic signature is appropriate for its particular use of the Client Agreement.

3. Eligibility

ComplaiLite is intended for use by licensed Canadian mortgage brokers and their authorized staff. By registering, you represent that you are a licensed mortgage broker (or acting under the authority of one) and that the information you provide during registration is accurate.

4. Accounts and Security

Broker accounts use passwordless magic-link authentication. You are responsible for maintaining control of the email account associated with your ComplaiLite account, and for all activity that occurs under your account. We strongly recommend enabling two-factor authentication. Notify us promptly at support@hndl.app if you believe your account has been accessed without authorization.

5. Broker Responsibilities

You are responsible for:

  • Obtaining your clients' consent to collect and process their personal information, as required by PIPEDA;
  • The accuracy and content of the Client Agreement you upload;
  • Reviewing the completed documents and exercising your own professional and regulatory judgment;
  • Meeting your own record-keeping obligations under FINTRAC, your provincial regulator, and any other applicable law;
  • Honouring CASL unsubscribe requests in any channel you operate outside of ComplaiLite.

6. Data Processing

For the purposes of applicable privacy law, you are the data controller of your clients' personal information and HNDL is the data processor. HNDL's processing of that information is governed by the ComplaiLite Data Processing Agreement, which is incorporated into these Terms by reference and is available to brokers. Our general handling of personal information is described in our Privacy Policy. In the event of a conflict between these Terms and the Data Processing Agreement on a privacy or data-protection matter, the Data Processing Agreement prevails.

7. Acceptable Use

You agree not to:

  • Use ComplaiLite for anything other than legitimate mortgage-brokerage compliance onboarding;
  • Upload unlawful, misleading, or infringing content;
  • Attempt to access another broker's account or client data;
  • Probe, scan, or attempt to breach the security of the service;
  • Resell, sublicense, or white-label ComplaiLite as your own product without our written agreement.

8. Fees

ComplaiLite is free for all brokers during the XEVA rollout. There are no per-check fees, contracts, or minimums during this period. If we introduce paid plans in the future, we will give you advance notice and you will be able to choose whether to continue.

9. Service Availability

We work to keep ComplaiLite available and reliable, but we do not guarantee uninterrupted or error-free operation. The service may be unavailable from time to time for maintenance, updates, or reasons outside our control. We are not liable for any loss arising from service interruptions.

10. Intellectual Property and Your Content

ComplaiLite, including its software, design, and content, is owned by HNDL Technology Inc. These Terms do not transfer any ownership to you.

"Your content" means the materials you supply to operate the service — your logo, brand colours, and the text of your Client Agreement. You retain ownership of your content, and you grant us a limited licence to use it solely to provide the service to you. Your clients' personal information — their KYC responses, electronic signature, and CASL consent — is not "your content" under this licence; it is handled as described in the Privacy Policy and the Data Processing Agreement.

11. Disclaimer

ComplaiLite is provided "as is" and "as available," without warranties of any kind, express or implied. ComplaiLite is a document-collection tool. It does not provide legal, compliance, or regulatory advice, and it does not guarantee that your use of it satisfies any particular regulatory requirement. Determining what your compliance obligations are, and whether they are met, remains your responsibility.

12. Limitation of Liability

To the maximum extent permitted by law, HNDL Technology Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of ComplaiLite. Except as set out in the next paragraph, our total aggregate liability for any claim related to the service will not exceed CAD $100.

The CAD $100 cap does not apply to, and nothing in these Terms limits, liability arising from: a breach of our privacy or data-protection obligations (including under the Data Processing Agreement); our gross negligence; or our fraud or wilful misconduct. This is consistent with the liability provisions of the Data Processing Agreement.

13. Indemnification

You agree to indemnify and hold harmless HNDL Technology Inc. from any claims, losses, or expenses arising out of your use of ComplaiLite, your content, or your breach of these Terms or of applicable law.

14. Term and Termination

These Terms apply for as long as you use ComplaiLite. You may stop using the service at any time. We may suspend or terminate your account if you breach these Terms or if we discontinue the service. On termination, client session data is retained as described in the Privacy Policy and the Data Processing Agreement to satisfy regulatory retention requirements.

15. Changes to These Terms

We may update these Terms from time to time. Any changes will be reflected on this page with an updated "Last updated" date. If a change is material, we will make reasonable efforts to notify brokers by email. Continued use of ComplaiLite after a change takes effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws principles. Any dispute will be subject to the exclusive jurisdiction of the courts of British Columbia.
